Corporate board of directors

A board that is elected by the corporate membership body of a council and is accountable to the membership for governance of the council and stewardship of the council’s critical resources, to the National Board of Directors of Girl Scouts of the U.S.A. for compliance with charter requirements, and to the state in which the council is incorporated for adhering to the state corporate laws. The board of directors is accountable to the federal government in matters affecting nonprofit corporations.
